TERMS

If you’re interested in engaging my services to help your organization with their marketing, please e-mail a brief written summary regarding what’s on your mind, your company’s needs and what you would like to see get accomplished during the course of the consulting engagement. Please provide all the vital information so I understand your strategic goals and the scope of work. Please include marketing objectives, business rational, any extenuating circumstances, budget, etc. This is the best way to get started prior to having a phone dialog and make sure we are ‘in sync’ before we proceed to the next steps.

A retainer is always required at the beginning of any consulting engagement. All out-of-pocket expenses incurred while working on behalf of your organization are always billed at cost.

If working on your company’s project requires business travel on my behalf, all travel time will be billed at standard rates. In the rare instances when the engagement requires business travel which includes weekend overnight stays, your company will incur an up-charge.

Please do not offer stock, stock options, performance-based pay or commission in exchange for the professional services I provide for your organization. While this was a fairly common practice for early-stage companies during the ‘irrational exuberance’ which coincided with the Internet Bubble, the concept of taking a flyer on current income has long since passed.

I continue to receive inquiries regarding board positions, although the Sarbanes-Oxley Act has made accepting seats on corporate boards much more interesting to say the least. Board members have much more exposure now than they did prior to the Sarbanes-Oxley Act. Quite frankly, the risk for board members is often too great. Adequate levels of D & O and E & O insurance coverage are an absolute must for board members today. Sitting on a corporate board is a great deal of responsibility and I take these positions quite seriously. If your board is in search of someone with a pedigree like mine, I’d be happy to listen and learn about what your organization would expect of me.

I do sit on the advisory board for some companies and am much more inclined to accept a seat on an advisory board than on a corporate board of directors. Again, I’m happy to gain an understanding of your expectations to determine if I am a good fit.

Please feel free to contact me so that I can answer any questions you may have regarding my services. I’d be happy to talk with you!
